Terms of Use

1. Acceptance of Terms

By downloading, installing, or using the PRODU application and related services (collectively, the "Services"), you agree to these Terms of Use ("Terms"). These Terms are between you and PRODU Group Limited, not Apple, Google, or other platform operators.

2. Eligibility and Account

You must be at least 13 years old (or older where required by local law) to use the Services.
You are responsible for keeping your account credentials secure and for activities under your account.
You must provide accurate account information and promptly update it if it changes.

3. Subscriptions, Credits, and Billing

The Services offer premium features through auto-renewing subscriptions and one-time credit purchases.

3.1 App Store Purchases (Google Play / Apple App Store)

Payment will be charged to your account at confirmation of purchase.
Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
Subscription management, cancellation, and renewal settings are handled in your Apple or Google account settings.

3.2 Web/Desktop Purchases (Stripe)

Payments made via our desktop or web applications are processed through Stripe. By providing your payment information, you authorize PRODU Group Limited to charge the designated payment method for the total amount of your purchase.

3.3 Credits and Usage

Top-Up Credits: Purchased credits have no cash value, are non-transferable, and do not expire while your account is active. If you choose to delete your account, all remaining credits will be permanently forfeited.

Refund Policy

App Store Purchases: Refund decisions for Apple App Store and Google Play purchases are made by the respective store under their policies. You may need to request refunds directly through the relevant store.

Stripe Purchases: Unless required by law, subscription and credit purchases are generally non-refundable after access is provided. Refund requests for unused credits may be considered case by case.

Mandatory Consumer Rights: Nothing in these Terms limits any non-waivable consumer rights available under applicable law (including EU/EEA, UK, and local consumer protections).

4. User-Generated Content (UGC)

PRODU allows users to create, store, and optionally share content such as notes, routines, and projects ("User Content").

You retain ownership of your User Content, but grant us a license to host and display it in order to provide the service.
Prohibited Content: You agree not to upload content that is illegal, abusive, harassing, contains graphic violence, or violates third-party intellectual property rights.
We reserve the right to remove any User Content and terminate accounts that violate these Terms without notice or refund.

5. Artificial Intelligence (AI) Features

PRODU utilizes artificial intelligence (AI) for voice assistance and content generation. AI-generated content is provided "as is."

No Guarantee of Accuracy: We do not guarantee the reliability or accuracy of AI responses. AI can "hallucinate" or provide incorrect information.
User Responsibility: You are solely responsible for any actions taken, or not taken, based on AI-generated suggestions. You agree to verify all critical information independently.

6. Prohibited Conduct

You agree not to reverse-engineer the Services, bypass subscription or credit systems, abuse APIs, or use the Services for unlawful, fraudulent, harmful, or rights-infringing activities.

7. Sanctions and Export Controls

You may not use the Services if prohibited by applicable trade, sanctions, or export-control laws. You represent that you are not located in, ordinarily resident in, or acting on behalf of a restricted party or sanctioned jurisdiction where use is prohibited by law.

8. Suspension and Termination

You may stop using the Services at any time.
We may suspend or terminate access if we reasonably believe you breached these Terms, created legal/security risk, or used the Services fraudulently.
Where practical, we may provide notice and an opportunity to appeal by contacting support@produ.app.

9. Intellectual Property

Except for your User Content, the Services, branding, and related technology are owned by PRODU Group Limited or its licensors and protected by applicable intellectual property laws.

10. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim implied warranties where legally permitted. PRODU Group Limited is not liable for indirect, incidental, special, consequential, or punitive damages. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, except where mandatory local consumer law provides otherwise. If you are a consumer, you may also have rights to bring claims in your country of residence under applicable law.

12. Changes to These Terms

We may modify these Terms from time to time. Material updates may be notified in-app or via our website. Continued use of the Services after changes become effective means you accept the updated Terms.
